The American people deserve the truth. FDA, do you remember Covaxin? The traditional whole-virion vaccine that you forced to jump through every bureaucratic hoop, while you were fast-tracking mRNA boosters based on trials conducted on just 8 mice? You urged the company to seek approval through a U.S. BLA trial, and they did—spending over $100 million on a massive Phase 3 trial that yielded top-line data showing broad protection against all variants of concern. Yet, despite this, you never approved an alternative traditional vaccine option after they successfully navigated your obstacle course. Why? Because just months after those results were published, you changed the rules to block any vaccine built on the original virus. This effectively killed the market for traditional vaccines based on the whole coronavirus. Meanwhile, you rolled out the next set of mRNA boosters, designed to mimic just a tiny piece of the spike protein on a virus that’s famously studied for its high mutation rates. It’s been four long years, and you still haven’t approved any competitor vaccines. The government collects royalties from mRNA sales, with companies like Moderna paying over $400 million in a single year. But those profits wouldn’t roll in from a traditional vaccine sale, would they? How has this financial entanglement influenced your decision-making during the pandemic? Your job is to serve the public—to prioritize science and protect the American people. But you’ve failed in that duty. Instead, you’ve used taxpayer dollars to accelerate only the development of “vaccines” that you own patents on, blocking all competitor vaccines for over four years. Do you really think the American people will trust that this next round of mRNA boosters will finally work, after six previous rounds failed to deliver? Your actions have severely damaged your credibility. Government entities should never receive kickbacks from the sales of drugs they’re responsible for approving. This is an egregious conflict of interest, and we’re living with the consequences. The amount of blood on your hands is staggering. Next-generation vaccines that have been proven to stop transmission are approved overseas, yet Americans have no choice but to take this mRNA snake oil. This is the biggest scam our country has ever seen. It’s time for real journalism to uncover the truth. There must be accountability, and the American people deserve to know who the main perpetrators are. Rest in peace to all those lost in this pandemic due to this corruption.

Cell and gene therapies can change what’s possible for patients living with rare and severe diseases. Cost shouldn’t put that possibility out of reach. CMS is expanding our Cell and Gene Therapy Access Model to help more Medicaid patients access these life-changing treatments. Learn more about the CGT 2.0 Model: go.cms.gov/CGT
At Cleveland Clinic today, CMS Innovation Center Director Abe Sutton, @DrOzCMS, and @FDA_KyleD announced that CMS will invite manufacturers of other cell and gene therapies to apply to the CGT Access Model. Learn more: go.cms.gov/CGT

$OCGN fam, in roughly 20 days we will see good OCU410ST interim results. Roughly 30 days after that we will see OCU400’s Bahamas approval/first commercial patient dosed. This SP bleed is absurd yet an incredible opportunity to accumulate more. Institutional ownership continues to climb, with it comes more votes as per the new record date changing from July 26 to October 30th, great interim results, followed by the vote passing which makes our books flip from -$25M under liabilities to +$90M over liabilities, then boom we don’t look like a horrible buy anymore right on time for the Bahamas full approval news with first commercial revenue, then the hype train leading up to top line phase 3 results. SP might be annoying af to look at right now, but the bearishness here is a fugazi with plenty of real substance coming soon. 🍻

$OCGN #OCUGEN #OCU400 Days like today we should not forget about the #OCU400 data. The world will separate the noise and the scientific results of the data, and only then we will see the true value of this gem in the rough. Once it will shine and the demand will only be obvious!

$ocgn does anyone else really compare Ocugen? Not really, the industry is full of single asset gene therapy companies trying to secure a niche and maybe make a billion. A good comparison is to look back at early Vertex/early Regeneron. Those were platform companies that built dominance around a biological insight that could be applied across multiple indications. Ocugen isn’t a single asset gene therapy company. They aren’t chasing one mutation. They’re a platform company. Their nuclear hormone receptor platform regulates an entire genetic network connected to countless diseases. OCU400 is what will prove this biological insight. It won’t just mean one product approval, it validates the platform. Ocugen has 3 BLAs lined up over the next two years. Manufacturing in place, commercial supply stored, strategic global partnerships, and patents filed to later expanding the platform, neurodegenerative diseases patents, including four Alzheimer’s patents. This isn’t some niche ophthalmology company. It’s a vertically integrated gene therapy company with repeatable applications across massive unmet markets, at a time when regulatory pathways are evolving to fast track these exact kinds of indications. If data continues like it has, we’re looking at the next big pharma without a doubt. And the revenue Ocugen is staring at likely means future forward splits, dividends, and buybacks. The question isn’t “who do we become?” It’s what is a validated gene agnostic modifier platform worth? And I can tell you, its future is worth a hell of a lot more than Vertex and Regeneron combined. 🍻

$OCGN I’d like to discuss something with you all. And I suspect it’ll hit close to home with a few. You all notice how confident the shorts suddenly got? How the SP keeps bleeding and bleeding? Well, there’s a very valid reason for the market to be exploiting this. We currently look like we’re in a fucked position practically broadcasting “please short me” while this AS vote remains unresolved. Why? Because it makes our balance sheet look like sheet. It shows we have $106.7M in current assets against $133.1M in current liabilities. Over $116M of those liabilities are the convertible notes and associated derivative, classified as “CURRENT” until we secure the share reserve. Once secured our balance sheet will show $133.1M against only $17M in liabilities. Suddenly our working capital goes from -$27M to + $90M . We currently look like an absolute horrible buy with our unresolved financial overhang while we head into our biggest catalysts. Any potential buyers now have a great reason to hesitate while the shorts are out here having a field day with the perfect uncertainty to exploit. They don’t need any bad news, they just need this nonsense to continue for as long as it can. This whole “too much dilution, let’s force them to propose 100M instead” campaign was a complete fool’s trap. We’re talking about roughly 20 percentage points of additional theoretical dilution if we bullshit ourselves into thinking every single share from either proposal is instantly issued at approval. Meanwhile we’ve already bled over 33% since the proxy failed. The most annoying thing about all this bitching a moaning over increasing the AS is the reality it causes zero dilution. Reserving shares for the notes causes zero dilution. All our past AS increases caused zero SP bleeding and took many years for the shares to hit the market. And assuming what all investors are betting on to begin with here, that OCU400 results deliver, the real potential near term financing dilution is likely in a range around 10M to 20M shares… All of this nonsense, this massive bleeding is due to a small percentage of retail investors who were tricked into shooting themselves in the foot by voting against their own company. All due to a complete lack of fundamental understanding inventing problems out of 2-5% of actual near term future dilution concerns. Which btw would only happen after the stock fucking ran… And I suspect that there’s more than a few people here who unwittingly helped bring us down here with their vote or lack thereof. So my point of this whole thing. If this was you, don’t even tell me. I do not want to know. If you want us to keep bleeding, carry on ya SOB. But if not, change your vote and let’s get moving where we should be. 🍻

$OCGN Come around fam and listen, time is non refundable and I will not waste ours. Current AS is 390M. Current OS is 339.1M. That leaves 50.9M. So on paper they have 50.9M shares of headroom. Except they don’t… Ocugen already has 54.8M tied up between options, RSUs, PSUs and warrants. They also have another 12.1M available for future equity awards to hire and retain top talent. Then comes the convertible. The normal conversion is 48.5M shares. That number doesn’t matter though. The agreement requires Ocugen to have enough shares available to cover the MAXIMUM possible conversion, including the make whole provision. That’s 70.3M shares. 339.1M OS 54.8M options, RSUs, PSUs and warrants 70.3M max convertible reserve 12.1M future equity awards 476.3M. They have 390M authorized. Meaning they have no wiggle room. Give them only 100M and they’re sitting at 490M AS with 476M accounted for or potentially needed. Congrats 🧑‍🚀 You just gave a company preparing for global commercialization 14M shares of flexibility. That’s nothing. The 250M increase takes AS to 640M and gives them 163.7M of actual flexibility to operate, hire, make deals and grow the company. And this clearly cannot be said enough, AS is not OS. Those shares do not enter the float until Ocugen actually issued them. It took them 5 years to use 150m, likely they’re accounting another 5 years to use this 163mm. And if you’re a shareholder, you want those shares to eventually get issued because that means we’re fuckin winning. Options don’t just get exercised and PSUs don’t just vest without SP going above exercise price and performance targets getting hit. Seeing all this kindergarten level market math/dog water take posts has me wanting to go blind rather than curing it. OCU400 success opens a market of roughly 300,000 RP patients across the US and Europe. At $1.5M a treatment: 0.5% penetration = 1,500 patients = $2.25B revenue 1% = 3,000 patients = $4.5B revenue 2% = 6,000 patients = $9B revenue Hint Ocugen wouldn’t be some $350M speculative biotech anymore. With their modifier gene therapy platform de risked with multiple late stage assets entering the largest untapped ophthalmology opportunities in biotech. A 10x+ revenue multiple would be more than likely. $2.25B revenue = $22.5B valuation $4.5B = $45B valuation $9B = $90B valuation Now pretend Ocugen eventually issues EVERY SINGLE authorized share. 😱 640M OS. $22.5B / 640M = $35.16 $45B / 640M = $70.31 $90B / 640M = $140.63 A 35x-140x bagger for these poor shareholders who got “diluted into the ground.” 🤪 And again, that’s before OCU410, OCU410ST, LCA, NeoCart, OCU500, neurological indications or anything else the modifier platform eventually opens up. We’ve watched this biological insight keep working through clinical development. We’re sitting here with multiple late stage assets, commercially ready to launch our first blockbuster, international markets opening and projected drug revenue, if partially realized, would place Ocugen among the top 5 biggest biotechs of the world. Yet somehow half of retail can only think and post about the OS when it’s only 5.5% of Pfizer’s share count. Smart money doesn’t confuse a tiny slice for the pie, And just like every time a bio launches, they’ll take advantage of the confused snagging their shares before the real highs. For the rest of us ready to get this show on the road like me, I’ll see you in the promised land. It’s gonna be one for the record books. 🍻
