Today marks another major milestone for Nth Cycle and the future of a resilient, domestic critical minerals supply chain. At Glencore's New York City offices, Nth Cycle CEO and Co-Founder Megan O'Connor joined Jyothish George, Glencore’s Head of Marketing, Metals, and Bulks, and signed a binding Strategic Partnership term sheet, with an estimated 10-year offtake value exceeding $1b based on current forecasted market pricing. This strategic partnership supports our planned battery materials refining facility (Project SHIELD), with Glencore supplying 100% of its black mass and purchasing MHP and battery-grade lithium carbonate we produce from it. It also includes assessment of an existing Glencore site in the US to accelerate build-out, and a pathway to deploy our OYSTER system globally for copper and rare earths. Nth Cycle Co-founder and CEO Megan O'Connor was in Houston this week for the G20 Energy Abundance Ministerial, joining energy ministers and government officials from around the world. The discussions focused on one of the U.S. Administration's core priorities: unlocking affordable, abundant, and secure energy supply chains as a foundation for economic growth and national security. To kick off the week, Megan participated in a Department of the Interior roundtable on Critical Minerals and Resilient Supply Chains, highlighting how refining recycled and unconventional feedstocks can expand domestic and allied critical minerals production to achieve that goal. We were proud to join another important conversation to help strengthen energy security for the United States and its partners.

Today, Nth Cycle begins a remarkable new chapter. We’re proud to announce that the Department of Energy (DOE) has selected us for award negotiations of up to $100 million to build a commercial scale battery materials refining facility, accelerating domestic critical mineral processing and supply chain independence. The new facility, designated as Project SHIELD (Strategic Hub for Industrial Electro-Extraction & Logistics Defense), will be designed to process up to 24,000 metric tons of black mass annually, converting it into high-purity nickel mixed hydroxide precipitate (MHP) and battery grade lithium carbonate for military systems, AI data centers, and other industries central to the country’s future. It also helps meet demand from other federal initiatives and our commercial commitments, including the recent black mass export restrictions and our binding off-take term sheet with Trafigura, with an estimated value of approximately $1.1 billion. We’re grateful to the Administration and the DOE for making critical mineral refining a national priority and for choosing Nth Cycle for award negotiations and as a potential partner to help build the future of domestic critical mineral refining, which we believe to be the most consequential supply chains of our time. “Nth Cycle has always been committed to keeping the country’s valuable resources here. Being selected for the award negotiations provides the opportunity to accelerate our mission, strengthen America’s future, and is a testament to the extraordinary resolve of The Administration, our employees, shareholders, and partners.” Megan O’Connor, Co-founder and CEO Read more about the announcement: globenewswire.com/news-relea…

Our CEO and co-founder Megan O’Connor joined Dani Burger on Bloomberg TV’s “Open Interest” segment yesterday to break down the future of critical mineral security and domestic refining.  Key takeaways include Washington’s push to keep the country’s black mass on U.S. soil and level the playing field to compete with China’s near monopoly on processing our resources. Megan also shared how Nth Cycle is aligned with policy requirements and the accelerated build-out to end that reliance, outlining the speed and cost advantages being designed into the OYSTER system and the company's plans to go public through a business combination with Kensington Capital Acquisition Corp. On Friday, Nth Cycle CEO and Co-Founder Megan O’Connor participated in two important conversations in Washington hosted by the Trump Administration. At a U.S. Department of Energy roundtable, Megan joined senior administration officials Assistant Secretary Audrey Robertson and Special Assistant to the President of the United States and Senior Director for Global Supply Chains, David Copley, other executives, university leadership, and students to discuss rebuilding the mining and minerals workforce. Later that day, she joined President Trump and Secretaries Rubio, Lutnick, and Bergum at the State Department for the historic American Mining Industry Roundtable where he announced funding for America’s critical minerals workforce alongside more government investment to end foreign reliance on the minerals our economy and national security depend on. As Nth Cycle scales the domestic refining capacity to meet the moment, we applaud the administration’s enormous commitment to the American critical minerals supply chain and the people we need to build it.

Yesterday’s U.S. Department of Commerce action is another important step toward strengthening America's critical minerals supply chain. Restricting the export of black mass and tungsten scrap directly combat Chinese market manipulation on these feedstocks and enables companies like Nth Cycle to establish refining capacity to match the nation’s resources. We look forward to working with the Administration to realize our shared vision of a strong domestic critical minerals supply chain. public-inspection.federalreg… #CriticalMinerals #BatteryRecycling #EnergySecurity #NationalSecurity #USManufacturing
