Fails to deliver this is when you think you bought a security your Broker sends you a fraudulent statement saying you own a security. But in reality they gave you an IOU but took your money and didn't deliver.
Sometimes they deliver the security and sometimes they don't.
If they do eventually replace the IOU with a security you bought it is after they have tanked the price and bought a security at a much lower price than you paid.
If they don't deliver the security this is how the failure to deliver loop works.

However this is what they are doing.
These Bona Fide Market Makers are renting out their special exemption to anyone willing to pay.
